1. Acceptance of Terms

By accessing or using Swift Talent Engine ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not access or use the Service. These Terms apply to all users, including employers, recruiters, contractors, and candidates.

2. Description of Service

Swift Talent Engine is an AI-powered hiring and recruitment platform designed for the energy industry. The Service enables:

• Employers and recruiters to post job opportunities, search for candidates, and manage the hiring pipeline
• Contractors and candidates to create professional profiles, search for job opportunities, and apply for positions
• AI-driven matching, screening, and pre-qualification of candidates against job requirements
• Automated job description generation and candidate assessment scoring

3. Account Registration & Eligibility

To use certain features, you must register an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and not share it with any third party
• Immediately notify us of any unauthorized use of your account

You must be at least 18 years of age to create an account. By creating an account, you represent that you meet this eligibility requirement.

4. Acceptable Use Policy

You agree not to use the Service in any way that:

• Violates any applicable law, regulation, or third-party right
• Posts false, misleading, fraudulent, or discriminatory job listings
• Submits false, inflated, or misleading candidate information or credentials
• Discriminates against candidates based on race, color, religion, sex, national origin, age, disability, or any other characteristic protected by law
• Attempts to reverse engineer, decompile, or disrupt the Service or its AI systems
• Uses automated tools (bots, scrapers) to access the Service without authorization
• Impersonates any person or entity, or misrepresents your affiliation
• Interferes with other users' use of the Service

5. User Content

"User Content" includes job postings, resumes, candidate profiles, messages, pre-screening responses, and any other material you submit. You retain ownership of your User Content. By submitting it to Swift Talent Engine, you grant us a limited, non-exclusive license to:

• Store, process, and display your content for the purpose of providing the Service
• Use your content to improve our AI matching and screening capabilities
• Share your candidate profile with recruiters who have matching job requirements (subject to your consent preferences)

You are responsible for ensuring that your User Content does not violate any laws, these Terms, or any third-party rights.

6. AI-Generated Content

The Service uses artificial intelligence to generate job descriptions, match scores, screening questions, negotiation simulations, and other outputs. You understand and acknowledge that:

• AI-generated content is advisory in nature and is not guaranteed to be accurate, complete, or error-free
• You should review all AI-generated outputs before relying on them for hiring or career decisions
• AI match scores are suggestions, not definitive assessments of candidate suitability
• Swift Talent Engine is not liable for decisions made based on AI-generated recommendations
• AI screening conversations simulate real interactions but do not replace human judgment

7. Intellectual Property

The Service, including its software, design, AI models, algorithms, and documentation, is owned by Swift Talent Engine and protected by applicable intellectual property laws. Your User Content remains your property. You may not copy, modify, distribute, or create derivative works from any part of the Service without explicit written permission.

8. Payment & Billing

Certain features are available free of charge. Premium features may be offered in the future. When premium features become available:

• All fees will be clearly disclosed before you commit to any paid feature
• You will be billed according to the selected plan and payment cycle
• You may cancel your subscription at any time; access continues until the end of the current billing period
• We reserve the right to modify pricing with at least 30 days advance notice

9. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information shared through the Service, including: salary and rate data, candidate assessments and match scores, internal hiring criteria and pipelines, and pre-screening conversation content. Neither party shall disclose such information to third parties without consent, except as required by law or necessary to provide the Service.

10. Termination

We may suspend or terminate your access if you violate these Terms or engage in harmful conduct. You may terminate your account at any time. Upon termination:

• Your right to access the Service will immediately cease
• Your User Content may be removed in accordance with our data retention practices
• Provisions that by their nature survive termination remain in effect, including IP, liability, and indemnification

11. Disclaimers & Limitation of Liability

The Service is provided "as is" without warranties of any kind. Swift Talent Engine does not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• AI-generated content will be accurate, reliable, or complete
• Any candidate, job listing, or employer is legitimate or suitable
• Specific hiring outcomes or employment results will occur

To the maximum extent permitted by law, Swift Talent Engine shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, goodwill, or other intangible losses resulting from your use of the Service.

12. Indemnification

You agree to indemnify and hold harmless Swift Talent Engine and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from: your access to or use of the Service; your User Content; your violation of these Terms; or your violation of any rights of another person or entity.

14. Governing Law & Dispute Resolution

These Terms shall be governed by applicable law. Disputes shall first be attempted through informal negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration. By agreeing to these Terms, you waive your right to a trial by jury or to participate in a class action.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes through the Service or by email. Continued use after modifications constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.
